How Often Must Boards Meet?

Dear Mr. Richardson:

Our HOA Board decided a few years ago to meet every other month instead of monthly.  I don't see anything in our CC&Rs or our Rules & Regulations stating how often they must meet.  Is the Board obligated to meet more often when decisions on issues are still pending?  Thanks.

Dear B.C.:

The law does not specifically state how often a Board must meet, but it does state at Civil Code Section 1365.5 that it must at least quarterly review operating accounts, reserve accounts and revenue and expenses.  The Board under Civil Code 1363.05 must act in open meetings.  Therefore, we know that Boards have to meet at least quarterly.  A Board’s fiduciary duties to their members may require more frequent meetings if quarterly meetings are not enough to protect the association’s interests.
